THIS REFUND POLICY ("POLICY") DESCRIBES NODEFOX LLC'S APPROACH TO REFUNDS FOR AMOUNTS PAID TO NODEFOX. BY MAKING A PURCHASE, YOU AGREE TO THIS POLICY, THE TERMS OF SERVICE AT HTTPS://WWW.NODEFOX.AI/LEGAL/TERMS, AND ALL APPLICABLE POLICIES.
REFUNDS ARE DISCRETIONARY DURING BETA AND DO NOT CREATE PRECEDENT OR ENTITLEMENTS. THE PLATFORM IS PROVIDED "AS IS." THIS POLICY APPLIES ONLY TO NODEFOX PLATFORM FEES COLLECTED BY NODEFOX. THIRD-PARTY FEES ARE NEVER REFUNDABLE BY NODEFOX. REFUNDS DO NOT COVER COSTS CAUSED BY WORKFLOW DESIGN, RETRIES, LOOPS, IN-FLIGHT OPERATIONS, OR AI/API USAGE.

PART I: INTRODUCTION
1.1 Purpose. This Policy explains NodeFox LLC's ("NodeFox," "we," "us," or "our") approach to refunds for purchases made through the Services.
1.2 Scope. This Policy governs NodeFox's handling of refund requests for amounts paid to NodeFox, including subscription fees, Marketplace purchases (where NodeFox collects payment), and other paid features. Marketplace refund eligibility is controlled by the Marketplace Terms (/legal/marketplace-terms). Third-Party Fees are excluded entirely.
1.3 Acceptance. By making a purchase, you agree to this Policy, the Terms of Service (/legal/terms), and all applicable policies.
1.4 Discretionary Nature. Refunds are provided at NodeFox's sole discretion. This Policy describes NodeFox's general approach but does not create entitlements, guaranteed rights, or obligations to provide refunds except as required by applicable law. Granting a refund does not create precedent; NodeFox may change eligibility criteria at any time, subject to law.
1.5 Platform Fees Only. This Policy applies only to NodeFox Platform Fees. Third-Party Fees are never refundable by NodeFox under any circumstances.
PART II: DEFINITIONS
2.1 "Chargeback" means a payment dispute initiated through your payment provider or financial institution.
2.2 "NodeFox Platform Fees" means only those fees paid directly to NodeFox for Platform access, expressly excluding all Third-Party Fees, payment processor fees, AI provider fees, taxes, and pass-through costs.
2.3 "Platform" means the NodeFox visual workflow orchestration platform.
2.4 "Services" means the Platform and related services.
2.5 "Subscription" means a recurring paid plan for Platform access.
2.6 "Third-Party Fees" means any fees associated with Third-Party Services, including AI provider API fees (OpenAI, Anthropic, Google, Mistral, or others), payment processing fees, cloud costs, and any other fees not paid directly to NodeFox. Third-Party Fees may accrue for attempted, failed, partial, retried, or timed-out runs, after cancellation or stop requests, and regardless of Workflow outcome. Third-Party Fees are non-refundable by NodeFox, outside NodeFox's control, and your sole responsibility.
2.7 "Third-Party Services" means third-party applications, services, APIs, or platforms that integrate with or are accessible through the Platform.
PART III: GENERAL REFUND POLICY
3.1 Discretionary. All refunds are at NodeFox's sole discretion. NodeFox is not obligated to provide refunds except as required by applicable law. Each request is evaluated individually. NodeFox may deny refunds even if a request meets one or more factors described herein.
3.2 Beta. The Platform is in beta. Purchases are made with full understanding of beta risks. Beta issues — including bugs, errors, instability, feature changes, performance issues, and temporary unavailability — are not grounds for refund.
3.3 No Precedent. Approval of any refund is a goodwill exception and does not establish precedent, create ongoing obligations, or entitle you or others to future refunds under similar circumstances.
3.4 Final Decisions. NodeFox's refund decisions are final and binding.
3.5 Free Trial Recommendation. Users are encouraged to use the free trial to evaluate the Platform before purchase. Purchasing without using the free trial is at your own risk.
PART IV: SUBSCRIPTION REFUNDS
4.1 Non-Refundable. Subscription fees are generally non-refundable. You commit to the subscription term selected.
4.2 Cancellation. You may cancel at any time. Cancellation stops future billing but does not entitle you to a refund of fees already paid. You generally retain access until the end of the current billing period, though NodeFox does not guarantee uninterrupted access.
4.3 No Prorated Refunds. NodeFox does not provide prorated refunds for partial periods, unused time, or early cancellation.
4.4 Annual Subscriptions. Annual fees are paid upfront and non-refundable.
4.5 Monthly Subscriptions. Monthly fees are charged at the beginning of each cycle and non-refundable for that cycle.
4.6 Tier Changes. Upgrades take effect immediately. Downgrades take effect at the next billing cycle. NodeFox may, in its discretion, apply a prorated credit toward the new tier. No cash refunds for tier differences.
4.7 Exceptional Circumstances. NodeFox may consider refunds for: (a) billing errors by NodeFox; (b) duplicate charges; or (c) other circumstances NodeFox deems appropriate. Meeting these criteria does not guarantee a refund.
4.8 Cancellation Does Not Reverse Third-Party Fees. Cancellation or refund of NodeFox Platform Fees does not reverse, refund, or offset Third-Party Fees or charges from in-flight operations.
PART V: FREE TRIAL CONVERSIONS
5.1 Non-Refundable. If your free trial converts to a paid subscription (whether voluntarily or automatically), subscription fees are non-refundable except as required by applicable law.
5.2 Evaluation Period. The free trial is your opportunity to evaluate. By converting, you confirm evaluation and acceptance.
5.3 Your Responsibility. It is your responsibility to cancel before the trial ends. Failure to cancel, failure to notice conversion, or failure to read notifications is not grounds for refund.
PART VI: MARKETPLACE REFUNDS
6.1 Marketplace Terms Control. Refund eligibility, content-return obligations, and Contributor impact for Marketplace purchases are governed by the Marketplace Terms (/legal/marketplace-terms). This Policy applies only to NodeFox-collected amounts.
6.2 Generally Non-Refundable. Marketplace purchases are generally non-refundable. NodeFox may consider refunds where: (a) content is materially different from its description; (b) content contains undisclosed malicious code; (c) content does not function due to defects in the content itself (not platform or third-party issues); or (d) other circumstances NodeFox deems appropriate.
6.3 No Refund for Platform Issues. Refunds are not available for Marketplace Content that does not function due to beta platform issues, Platform changes, third-party dependency failures, or factors outside the content's control.
6.4 Free Content. No refunds for free Marketplace Content.
6.5 Effect. If a Marketplace refund is approved: your license terminates; you must cease use and delete copies.
PART VII: ENTERPRISE AND PILOT PROGRAMS
7.1 Agreement Controls. Refunds for enterprise subscriptions and pilots are governed by the applicable agreement (Enterprise Agreement, MSA, etc.). In the absence of specific terms, enterprise fees are non-refundable except as required by applicable law.
7.2 SLA Credits. For Enterprise Customers with an active SLA, compensation for downtime or performance degradation is strictly limited to Account credits as defined in the SLA. SLA credits are not convertible to cash refunds under any circumstances.
7.3 Free Pilots. No fees, no refunds.
PART VIII: THIRD-PARTY FEES
8.1 Never Refundable by NodeFox. Third-Party Fees are never refundable by NodeFox under any circumstances.
8.2 Your Responsibility. You incur Third-Party Fees directly with providers through your use of the Platform. Seek refunds from the applicable provider.
8.3 Execution Dynamics. Third-Party Fees may accrue for attempted, failed, partial, retried, or timed-out executions; after stop/cancel requests; during in-flight operations that complete after attempted stop; and regardless of Workflow outcome. Cost estimates or displays, if any, are informational only and not a refund trigger. NodeFox has no duty to warn of accruing Third-Party Fees.
8.4 No Liability. NodeFox has no liability for Third-Party Fees regardless of any estimates, statements, or UI displays.
PART IX: WORKFLOW AND EXECUTION COSTS
9.1 No Refunds for Workflow-Caused Costs. NodeFox does not refund NodeFox Platform Fees, usage overages, or compute-tier charges incurred as a result of user-configured infinite loops, runaway recursion, fan-out, poorly optimized logic, unbounded polling, retry storms, unintended automated executions, or any other Workflow design choices. You are responsible for setting usage limits, bounding loops, configuring spend controls, and auditing Workflow logic.
9.2 Stop Not Guaranteed. Stop, pause, or cancellation is not guaranteed to halt in-flight actions immediately. Actions already dispatched to third parties may complete. No refunds for consequences or costs arising from inability to stop.
9.3 No Refunds for Misconfiguration. No refunds for costs arising from user misconfiguration, unsafe Workflow design, outbound call abuse, connector misuse, excessive API consumption, or failure to implement appropriate safeguards.
PART X: NON-REFUNDABLE ITEMS
10.1 Generally Non-Refundable:
(a) Subscription fees (except in exceptional circumstances at NodeFox's discretion); (b) Annual subscription fees; (c) Partial subscription periods or unused time; (d) Marketplace purchases (except in limited circumstances); (e) Third-Party Fees (never refundable); (f) Free trial conversions; (g) Purchases more than thirty (30) days old (except as required by law); (h) Purchases where you extensively used the Platform; (i) Issues related to beta status; (j) Features that changed or were removed; (k) Issues caused by your equipment, network, or configuration; (l) Issues caused by Third-Party Services; (m) Promotional credits or free credits; (n) Setup, professional services, training, or consulting fees; (o) Runaway Workflow costs, overages, or compute charges caused by user logic; (p) Costs from in-flight operations after attempted stop/cancel; and (q) Any other fees unless otherwise specified.
10.2 Absolute Non-Refundables: (a) Third-Party Fees; (b) promotional/free credits; (c) free services; and (d) fees associated with Accounts terminated for violation of the Terms of Service, AUP, or suspected fraud — all pre-paid fees are forfeit to cover investigative and administrative costs.
PART XI: REFUND PROCESS
11.1 How to Request. Email billing@nodefox.ai with subject "Refund Request" including: Account email, purchase date, amount, description, reason, and supporting documentation. Do not include API keys, passwords, or credentials in refund requests; NodeFox may redact submissions containing secrets.
11.2 Verification. NodeFox may require identity verification, proof of authority, and additional documentation before considering a refund. Refusing verification may result in denial.
11.3 No Guaranteed Timeline. NodeFox may review and process requests but does not guarantee response times, review timelines, or outcomes. No implied SLA.
11.4 Decision. NodeFox may approve (full or partial), deny, or request additional information. Decisions are final.
11.5 Partial Refunds. NodeFox may offer partial refunds at its discretion. Accepting a partial refund constitutes full and final settlement of that issue to the maximum extent permitted by law.
PART XII: REFUND METHODS
12.1 Original Payment Method. Refunds are generally issued to the original payment method. If the original method is unavailable, NodeFox may issue Account credit instead (credits may expire upon Account termination), except where prohibited by law.
12.2 Processing Times. Processing varies by provider and method. NodeFox does not guarantee any particular processing time.
12.3 Third-Party Marketplace Purchases. If you purchased via a third-party marketplace (Apple App Store, Microsoft Store, or authorized reseller), NodeFox cannot issue refunds. All refund requests for such purchases must be directed to the respective marketplace and are governed by their policies.
12.4 Currency. Refunds are issued in the original purchase currency. NodeFox disclaims liability for currency conversion spreads, foreign transaction fees, SWIFT/wire transfer fees, or intermediary banking deductions. Such costs are your responsibility.
12.5 Taxes. Taxes may be refunded where required by applicable law and supported by the payment processor. Otherwise, taxes may be non-refundable even if base fees are refunded.
12.6 Account Credits. Where NodeFox issues Account credits instead of cash refunds, credits are valid only toward future NodeFox Platform Fees, have no cash value, cannot be withdrawn, transferred, or exchanged for currency, and expire immediately upon Account termination.
PART XIII: CHARGEBACKS
13.1 Contact First. Contact billing@nodefox.ai before initiating a chargeback.
13.2 Material Breach. Initiating a chargeback constitutes a material breach of the Terms of Service. NodeFox may: (a) immediately suspend or terminate your Account; (b) freeze or delete cloud-hosted Workflows, data, and Marketplace Content; (c) contest the chargeback with registration, authorization, and usage logs; (d) pursue collection of the disputed amount plus chargeback fees, administrative costs, and processor fees; (e) deny pending or future refund requests during an open dispute; and (f) report fraudulent chargebacks to authorities.
13.3 Data Forfeiture. NodeFox is not liable for loss of data, Workflows, intellectual property, or Account access resulting from Account suspension or termination due to a chargeback.
PART XIV: ACCOUNT STATUS AFTER REFUND
14.1 Subscription Refunds. If approved: subscription is cancelled; access to paid features may terminate immediately (not at period end); free features may remain available.
14.2 Marketplace Refunds. License terminates; you must cease use and delete copies.
14.3 Re-Purchase. You may re-purchase at the then-current price, subject to availability.
PART XV: ABUSE AND FRAUD
15.1 Prohibited. Bad-faith requests, serial refund requests, false information, using refunds to avoid payment, chargebacks without contacting NodeFox, and any fraudulent conduct are prohibited.
15.2 Consequences. Denial of current/future requests; Account suspension/termination; future purchase prohibition; evidence preservation; legal action; reporting to authorities.
15.3 Detection. NodeFox may use automated and manual detection methods.
PART XVI: PROMOTIONAL PURCHASES
16.1 Promotional purchases follow the same refund rules. Refund amount is the amount actually paid (after discount).
16.2 Promotional credits have no cash value and are non-refundable.
16.3 Bundle refunds, if approved, may be for the entire bundle only.
16.4 Promotions may have additional restrictions and may be non-refundable regardless of other factors.
PART XVII: REGIONAL CONSIDERATIONS
17.1 Statutory Rights. Some jurisdictions provide mandatory refund rights. Nothing in this Policy limits your statutory rights under applicable law.
17.2 European Union / United Kingdom. EU/UK consumers may have a statutory 14-day right of withdrawal. However, for digital content and services, where NodeFox's checkout process requests your express consent to immediate performance and your acknowledgment of loss of withdrawal rights, you may lose the right to withdraw upon commencement of performance, as permitted by applicable law. Where such consent is not captured, statutory withdrawal rights apply.
17.3 Australia. Australian Consumer Law guarantees apply and cannot be excluded. This Policy does not limit those guarantees.
17.4 Other Jurisdictions. Mandatory refund rights apply where required by local law.
PART XVIII: GENERAL PROVISIONS
18.1 Modifications. NodeFox may modify this Policy at any time. Changes are effective upon posting with an updated Last Updated date. Material changes apply prospectively to the extent required by law. Continued purchases after modification constitute acceptance to the extent permitted by law.
18.2 Relationship to Other Terms. This Policy is incorporated into the Terms of Service. Marketplace refunds are also governed by Marketplace Terms. Free trial conversions are governed by Free Trial Terms. Enterprise refunds are governed by applicable agreements. In conflict: enterprise agreements control for enterprise; Marketplace Terms control for Marketplace-specific provisions; this Policy controls for general refund matters.
18.3 Dispute Resolution. Dispute resolution for refund matters is governed by the Terms of Service (/legal/terms), including governing law, arbitration, class action waiver, and all related procedures.
