PART I: INTRODUCTION

1.1 Introduction. NodeFox LLC ("NodeFox," "we," "us," or "our") offers a free trial of the Automate plan to allow prospective users to evaluate the NodeFox visual workflow orchestration platform before committing to a paid subscription.

1.2 Acceptance. By clicking "Start Trial," "Accept," or otherwise affirmatively activating a Free Trial, you ("you," "your," or "User") agree to be bound by: (a) these Trial Terms; (b) the Terms of Service at /legal/terms; (c) the Privacy Policy at /legal/privacy; (d) the Acceptable Use Policy at /legal/acceptable-use; (e) the Cookie Policy at /legal/cookies; and (f) all other applicable NodeFox policies. Merely browsing the website does not constitute acceptance of these Trial Terms.

1.3 Authority. If activating on behalf of an organization, you represent and warrant that you have authority to bind that organization.

1.4 Rejection. If you do not agree, do not activate or use the Free Trial.

PART II: DEFINITIONS

2.1 "Account" means a registered NodeFox user account.

2.2 "Free Trial" or "Trial" means the complimentary seven (7) day access period during which you may use the Platform without payment of NodeFox Platform Fees.

2.3 "NodeFox Platform Fees" means only those fees paid directly to NodeFox for Platform access, expressly excluding all Third-Party Fees, payment processor fees, AI provider fees, taxes, and pass-through costs.

2.4 "Outputs" means any results, data, content, actions, or effects produced by Workflow execution, including AI-generated content.

2.5 "Paid Subscription" means the Automate plan (or other plan) requiring payment for continued access.

2.6 "Platform" means the NodeFox visual workflow orchestration platform, including the web application, desktop application, APIs, and related services.

2.7 "Services" means the Platform and any related services provided by NodeFox.

2.8 "Third-Party Fees" means any and all fees, costs, or charges associated with Third-Party Services, including without limitation AI provider API fees (OpenAI, Anthropic, Google, Mistral, or others), payment processing fees, cloud infrastructure costs, and any other fees not paid directly to NodeFox. Third-Party Fees are non-refundable by NodeFox, outside NodeFox's control, and may accrue after cancellation, stop requests, or Trial expiration.

2.9 "Third-Party Services" means third-party applications, services, APIs, or platforms that integrate with or are accessible through the Platform, including AI and machine learning providers.

2.10 "Trial Data" means any data, content, or materials you upload, create, or store during the Trial Period.

2.11 "Trial Period" means seven (7) days from activation, unless earlier terminated.

2.12 "Workflows" means any automated processes, sequences, logic flows, or orchestrations created using the Platform.

PART III: ELIGIBILITY

3.1 General. To be eligible, you must: (a) be at least eighteen (18) years of age or the age of majority in your jurisdiction; (b) have legal capacity to enter binding agreements; (c) provide accurate registration information; (d) agree to these Trial Terms and all applicable policies; and (e) not be prohibited from using the Services under applicable law.

3.2 One Trial Per User. Free Trials are limited to one (1) per individual user. Creating multiple accounts to obtain additional Trials is prohibited.

3.3 One Trial Per Organization. If activating on behalf of an organization, one (1) Trial per organization regardless of the number of users.

3.4 Prior Users. Users who have previously had a Paid Subscription or Free Trial may not be eligible for additional Trials, at NodeFox's sole discretion.

3.5 Geographic Restrictions. Free Trials are not available in countries subject to U.S. sanctions or export restrictions. You are responsible for compliance with applicable laws in your jurisdiction.

3.6 Verification and Denial. NodeFox may verify eligibility and may deny or terminate access for any reason or no reason, including based on payment method, IP address, device fingerprint, or other signals.

PART IV: FREE TRIAL OVERVIEW

4.1 Purpose. The Free Trial is for evaluation purposes only — to allow you to assess the Platform before purchasing a Paid Subscription.

4.2 No NodeFox Platform Fees During Trial. During the Trial Period, you will not be charged NodeFox Platform Fees. Exceeding usage limits results in throttling or suspension, not additional NodeFox charges. Third-Party Fees are your sole responsibility and are not covered by the Free Trial.

4.3 Discretionary. Free Trials are offered at NodeFox's sole discretion. NodeFox may modify, limit, or discontinue Trials at any time without notice and without preserving data, access, or pricing.

4.4 Beta Status. The Platform is in beta. The Free Trial provides access to a beta platform that may contain bugs, errors, or incomplete features; may be unstable or unavailable; may change significantly; and is not intended for production use.

PART V: TRIAL PERIOD AND FEATURES

5.1 Duration. The Trial Period is seven (7) days from activation.

5.2 Start Date. The Trial Period begins on the date you activate the Free Trial.

5.3 End Date. The Trial Period ends seven (7) days after activation, based on Pacific Time as determined by NodeFox's system records. NodeFox's system records are conclusive for trial timing.

5.4 No Extensions. Trial Periods are not extendable except at NodeFox's sole discretion.

5.5 Included Features. During the Trial, you have access to Automate plan features as configured at activation, which may include: workflow creation and execution, integration capabilities, web and desktop application access, and documentation. Not all features may be available. NodeFox may enable or disable features at any time without notice.

5.6 Limitations. The Trial may include limitations on workflows, executions, storage, API calls, integrations, and other metrics. Exceeding limits may result in throttling, queuing, suspension, or termination without prior warning.

5.7 Deprioritized Compute. Free Trial Workflows are deprioritized. During periods of high platform load, NodeFox may throttle, queue, or delay Trial Workflow execution to preserve performance for Paid Subscriptions, without notice or liability.

5.8 No Compatibility Guarantee. Features, APIs, DSL syntax, node schemas, and Workflow behavior may change at any time. NodeFox has no obligation to maintain backward compatibility, provide migration tools, or preserve any particular functionality during or after the Trial.

PART VI: ACCOUNT, PAYMENT, AND CONVERSION

6.1 Account Required. You must create an Account with accurate information. You are responsible for Account security, all Account activity, and all credentials (including third-party API keys) stored or used through the Platform.

6.2 Payment Information Required. You must provide a valid payment method (credit card or other accepted method) to activate the Free Trial. This facilitates automatic conversion to a Paid Subscription at Trial expiration.

6.3 Verification Holds. NodeFox or its payment processor may place a temporary verification hold on your payment method to confirm validity. Verification holds are not charges and will be released per your financial institution's policies.

6.4 No Charge During Trial. You will not be charged NodeFox Platform Fees during the Trial Period unless you voluntarily convert to a Paid Subscription early.

6.5 Automatic Conversion. Unless you cancel before the Trial Period ends, your Free Trial will automatically convert to a paid Automate Subscription at the then-current price displayed at https://www.nodefox.ai/pricing, billed every 30 days. BY PROVIDING YOUR PAYMENT METHOD AND ACTIVATING THE FREE TRIAL, YOU EXPRESSLY AUTHORIZE NODEFOX TO CHARGE YOUR PAYMENT METHOD FOR THE AUTOMATE PLAN SUBSCRIPTION FEE AT THE END OF THE TRIAL PERIOD AND ON EACH SUBSEQUENT 30-DAY BILLING CYCLE UNTIL YOU CANCEL. NodeFox may provide notice before conversion as required by applicable law; NodeFox is not otherwise obligated to remind you of Trial expiration.

6.6 Cancellation. You may cancel at any time before the Trial ends without incurring NodeFox Platform Fees. To cancel: (a) use the cancellation feature in your Account settings (preferred); or (b) email support@nodefox.ai. Cancellation is effective when processed through Account settings or confirmed by NodeFox. Third-Party Fees already incurred are not refundable by NodeFox.

6.7 Chargeback Policy. Initiating a bank chargeback or payment dispute for a validly converted Paid Subscription (where you failed to cancel before Trial expiration) constitutes a material breach of these Terms. NodeFox may immediately terminate your Account, contest the chargeback using registration, authorization, and usage logs, and recover associated processor fees and costs.

6.8 Data Continuity. If you convert, Trial Data may be retained in your Paid Subscription, subject to technical feasibility. NodeFox does not guarantee data continuity.

6.9 Post-Trial. After conversion, your Paid Subscription is governed by the Terms of Service. Free Trial pricing does not guarantee future pricing.

PART VII: DURING THE TRIAL

7.1 Permitted Use. During the Trial, you may use the Platform for: evaluation, testing, and familiarization purposes. The Free Trial is for evaluation only.

7.2 Restrictions — Production and Regulated Use. You shall not use the Platform during the Trial for: (a) production, mission-critical, or business-critical purposes; (b) regulated workloads including HIPAA, PCI-DSS, SOX, GLBA, or equivalent; (c) medical, emergency, or critical infrastructure decisions; (d) legal compliance determinations; (e) employment, credit, housing, insurance, or other high-risk decisioning under applicable law; or (f) any purpose requiring guaranteed availability, accuracy, or continuity.

7.3 Shadow Production Ban. You are prohibited from attaching live webhooks, processing real customer data, or routing live production traffic through the Platform during the Trial ("Shadow Production"). If you route live data through a Trial Account in violation of these Terms, you do so at your own risk. NodeFox disclaims all liability for dropped payloads, lost revenue, business interruption, or data loss caused by Trial expiration, suspension, or throttling.

7.4 Human Deployer Accountability. Consistent with applicable law (including AI governance laws), you acknowledge that you, as the human deployer of any Workflow or AI system created using the Platform, bear full legal accountability for all Outputs and outcomes as if you had personally performed each action. You may not assert AI autonomy, agent independence, emergent behavior, or lack of control as a defense. NodeFox is not your agent; you authorize all actions initiated through Workflows and are responsible for supervision, approval, and validation.

7.5 Execution Semantics. Workflow executions may be duplicated, reordered, delayed, partially executed, or may fail silently. You must design Workflows with idempotency, safe retries, bounded loops, rate limits, spend controls, and appropriate error handling. NodeFox is not liable for duplicated, missed, delayed, or out-of-order executions or for any resulting actions or Third-Party Fees.

7.6 Stop/Pause Not Guaranteed. If you attempt to stop, pause, or cancel a Workflow execution, NodeFox may attempt to halt processing, but stopping is not guaranteed. In-flight operations, third-party API calls, webhook deliveries, and outbound requests may complete after a stop request. You remain responsible for all resulting actions, Outputs, and Third-Party Fees.

7.7 Secrets and Credentials. Do not include API keys, passwords, access tokens, private keys, or other secrets in Workflow prompts, DSL configurations, execution logs, screenshots, exports, shared workspaces, or support communications unless you intend to disclose them. If credentials are exposed, you must rotate and revoke them immediately. NodeFox is not responsible for credential exposure resulting from your actions.

PART VIII: DATA

8.1 Ownership. You retain ownership of Trial Data, subject to licenses in the Terms of Service.

8.2 No Retention Guarantee. NodeFox does not guarantee retention of Trial Data at any time, including during the Trial. You are solely responsible for exporting and backing up data before Trial expiration.

8.3 Deletion. NodeFox may delete Trial Data immediately upon Trial expiration or termination and has no duty to preserve, restore, or provide access to Trial Data after expiration. NodeFox may delete Trial Data at any time in its discretion. Deletion requests are handled per the Privacy Policy.

8.4 Export. During the Trial, export features may be available but are not guaranteed. Exports may be incomplete; NodeFox is not responsible for data fidelity in exports.

8.5 Post-Trial Data. You are exclusively responsible for exporting desired data before the Trial expires. NodeFox has no obligation to grant extensions, temporary unlocks, or backend data exports for expired Accounts. Restriction of access upon expiration is a core mechanic of the Free Trial.

PART IX: RESTRICTIONS

9.1 General Restrictions. During the Free Trial, you shall not and shall not permit any third party to:

(a) use the Platform for any purpose other than evaluation;

(b) use the Platform for production, mission-critical, business-critical, or regulated purposes;

(c) sublicense, sell, resell, transfer, or distribute Platform access;

(d) modify, copy, or create derivative works of the Platform;

(e) reverse engineer, disassemble, or decompile the Platform;

(f) access the Platform to build a competitive product, perform benchmarking, or conduct competitive analysis;

(g) remove or obscure proprietary notices;

(h) violate the Terms of Service, Acceptable Use Policy, or other policies;

(i) interfere with, disrupt, or degrade the Platform;

(j) circumvent usage limits, access controls, or security measures;

(k) create multiple accounts to obtain additional Trials;

(l) share Account credentials;

(m) use automated means to activate Trials;

(n) misrepresent identity or affiliation;

(o) use the Platform to process illegal, harmful, or infringing content;

(p) deploy malicious code, exploitation attempts, scanning, SSRF, tunneling, enumeration, or proxy abuse;

(q) harvest, phish for, or attempt to extract credentials, API keys, or authentication tokens;

(r) orchestrate mass email (spam), SMS blasting, robocalling, phishing campaigns, or automated social media botting, regardless of whether recipient lists were legally acquired;

(s) mine cryptocurrency, execute DDoS attacks, perform network scanning, or intentionally generate excessive compute load degrading other users' experience;

(t) manipulate, delete, or obfuscate the Application's local database, registry, hardware ID, or installation state to evade Trial expiration, reset trial clocks, or spoof device signatures;

(u) use outbound fetch, webhook, or API call capabilities for any purpose prohibited by the AUP; or

(v) use the Platform in any manner not expressly authorized.

9.2 Consequences. Violations may result in: immediate termination; Account termination; prohibition from future use; preservation of evidence; legal action; and reporting to authorities. NodeFox may use automated detection methods.

PART X: THIRD-PARTY SERVICES AND COSTS

10.1 Third-Party Services. The Platform integrates with Third-Party Services. Your use is subject to those services' terms. NodeFox is not responsible for Third-Party Services.

10.2 Your Responsibility. You are solely responsible for all Third-Party Fees, including AI provider fees, API charges, and cloud costs. Third-Party Fees may accrue for attempted, failed, partial, retried, or timed-out runs, after cancellation or stop requests, and regardless of Workflow outcome. Cost estimates, if any, are informational only; NodeFox has no duty to warn of accruing costs.

10.3 API Keys. You are responsible for all usage and costs associated with your API keys.

10.4 Evaluation Tokens. If NodeFox provisions limited "evaluation" or shared API tokens at its discretion, those tokens are strictly rate-limited, shared across Trial users, and may be exhausted or revoked at any time. NodeFox makes no guarantee of availability.

10.5 NO THIRD-PARTY FEE LIABILITY. NODEFOX IS NOT LIABLE FOR ANY THIRD-PARTY FEES, INCLUDING AI PROVIDER FEES, PAYMENT PROCESSING FEES, CLOUD COSTS, OR ANY FEES NOT PAID DIRECTLY TO NODEFOX. THIRD-PARTY FEES ARE NON-REFUNDABLE BY NODEFOX.

PART XI: USER RESPONSIBILITIES

11.1 You are responsible for: compliance with all applicable laws, policies, and Third-Party Service terms; Account security and all Account activity; accuracy, legality, and appropriate handling of your data; obtaining required consents; evaluating whether the Platform meets your needs; designing safe Workflows with bounded loops, rate limits, spend controls, retries, approval gates, and output validation; and understanding Trial limitations and beta status.

11.2 You are responsible for any logs, exports, screenshots, or shared workspaces that contain sensitive information or credentials. Redact before sharing externally.

PART XII: INTELLECTUAL PROPERTY

12.1 NodeFox owns all IP in the Platform. No rights are transferred. During the Trial, NodeFox grants a limited, non-exclusive, non-transferable, revocable license to access the Platform solely for evaluation.

12.2 You retain ownership of content you create, subject to licenses in the Terms of Service.

12.3 Feedback is non-confidential. NodeFox may use feedback without obligation, per the Terms of Service.

PART XIII: TRIAL EXPIRATION AND TERMINATION

13.1 Expiration. Unless converted or earlier terminated, the Trial expires at the end of the Trial Period. If you provided payment information and did not cancel, the Trial automatically converts per Section 6.5.

13.2 Effect of Expiration Without Conversion. If you cancelled or did not provide payment information: (a) all rights terminate; (b) Platform access is disabled; (c) NodeFox may attempt to stop Workflow execution, but stopping is not guaranteed and in-flight operations may complete; (d) Trial Data may be deleted immediately; and (e) you remain responsible for all actions and Third-Party Fees from in-flight operations.

13.3 Organization/Workspace Expiration. If the Trial was activated for an organization or shared workspace, expiration immediately revokes access for all invited users, collaborators, and team members associated with that workspace, regardless of individual Account status.

13.4 Termination by NodeFox. NodeFox may terminate your Trial at any time, for any reason or no reason, with or without notice. NodeFox is not liable for terminating your Trial.

13.5 Survival. The following survive termination: Definitions; Third-Party Costs; Intellectual Property; Disclaimers; Limitation of Liability; Indemnification; Privacy; Dispute Resolution; General Provisions; and any provisions that by nature should survive.

PART XIV: BETA AND DISCLAIMERS

14.1 BETA. THE PLATFORM IS IN BETA. YOU USE IT AT YOUR OWN RISK. NODEFOX MAKES NO REPRESENTATIONS REGARDING WHEN OR WHETHER THE PLATFORM WILL EXIT BETA. BETA STATUS MAY CONTINUE INDEFINITELY.

14.2 AS IS. THE FREE TRIAL AND PLATFORM ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

14.3 DISCLAIMER. TO THE FULLEST EXTENT PERMITTED BY LAW, NODEFOX DISCLAIMS ALL WARRANTIES, INCLUDING: MERCHANTABILITY; FITNESS FOR A PARTICULAR PURPOSE; TITLE; NON-INFRINGEMENT; UNINTERRUPTED, ERROR-FREE, OR SECURE OPERATION; MEETING YOUR REQUIREMENTS; ACCURACY OR COMPLETENESS OF DATA; CORRECTION OF DEFECTS; SUITABILITY FOR PRODUCTION USE; SECURITY OF THE PLATFORM OR YOUR DATA; AND ANY WARRANTIES REGARDING THIRD-PARTY SERVICES, AI OUTPUTS, OR WORKFLOW RESULTS.

14.4 AI DISCLAIMER. AI-GENERATED OUTPUTS MAY BE INACCURATE, INCOMPLETE, BIASED, MISLEADING, HARMFUL, OR FABRICATED. NODEFOX MAKES NO WARRANTY REGARDING OUTPUT ACCURACY, QUALITY, SAFETY, LEGALITY, OR FITNESS.

14.5 EXECUTION DISCLAIMER. NO WARRANTY THAT STOP, PAUSE, OR CANCELLATION WILL SUCCEED OR PREVENT THIRD-PARTY ACTIONS, FEES, OR CONSEQUENCES.

14.6 SECURITY DISCLAIMER. THE PLATFORM IS IN BETA. NO GUARANTEE OF SECURITY. YOU ARE RESPONSIBLE FOR SAFE CONFIGURATION, SECRETS HANDLING, AND CREDENTIAL MANAGEMENT.

14.7 JURISDICTIONAL LIMITATIONS. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS. TO THE EXTENT SUCH LAWS APPLY, THE ABOVE MAY NOT APPLY IN FULL.

PART XV: LIMITATION OF LIABILITY

15.1 EXCLUSION OF DAMAGES. TO THE FULLEST EXTENT PERMITTED BY LAW, NODEFOX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING: LOST PROFITS, REVENUE, DATA, OR BUSINESS; BUSINESS INTERRUPTION; LOSS OF USE; PROCUREMENT OF SUBSTITUTES; PLATFORM UNAVAILABILITY OR ERRORS; DATA LOSS OR CORRUPTION; THIRD-PARTY CONDUCT OR FEES; TRIAL EXPIRATION OR TERMINATION; CONVERSION OR FAILURE TO CONVERT; AUTONOMOUS ACTIONS OR AI OUTPUTS; DROPPED PAYLOADS OR WEBHOOK FAILURES; RUNAWAY EXECUTION COSTS; OR ANY INTANGIBLE LOSSES — EVEN IF ADVISED OF THE POSSIBILITY.

15.2 LIABILITY CAP. NODEFOX'S TOTAL AGGREGATE LIABILITY FOR THE FREE TRIAL SHALL NOT EXCEED ZERO U.S. DOLLARS ($0.00).

15.3 NO THIRD-PARTY FEE LIABILITY. NODEFOX IS NOT LIABLE FOR ANY THIRD-PARTY FEES.

15.4 ESSENTIAL PURPOSE. THESE LIMITATIONS APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

15.5 BASIS OF BARGAIN. THESE LIMITATIONS ARE A FUNDAMENTAL ELEMENT OF THE BARGAIN. THE FREE TRIAL WOULD NOT BE PROVIDED WITHOUT THEM.

15.6 EXCEPTIONS. THESE LIMITATIONS DO NOT APPLY TO: (A) LIABILITY ARISING FROM NODEFOX'S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT; (B) YOUR INDEMNIFICATION OBLIGATIONS; OR (C) LIABILITY THAT CANNOT BE LIMITED BY LAW.

PART XVI: INDEMNIFICATION

16.1 You agree to indemnify, defend, and hold harmless NodeFox and its officers, directors, employees, agents, and affiliates from claims, damages, losses, liabilities, costs, and expenses (including attorneys' fees, incident response costs, investigation costs, regulatory inquiry costs, and chargeback/processor fees) arising from: your use of the Trial or Platform; violation of these Terms, the Terms of Service, or applicable law; your content or data; Third-Party Services usage; infringement of third-party rights; Workflow outcomes and autonomous actions; Third-Party Fees; and any third-party claims from your use.

16.2 NodeFox may provide notice of claims but is not obligated to do so. NodeFox may assume defense control at your expense. You will not settle without NodeFox's prior written consent. Indemnification obligations survive termination.

PART XVII: SUPPORT

17.1 Support during the Trial is limited, discretionary, and may be unavailable. Any support is a courtesy. No SLA applies. No commitments regarding response times, resolution, or availability. Support channels do not create response obligations. Paid Subscribers receive priority.

PART XVIII: MODIFICATIONS

18.1 NodeFox may modify, limit, suspend, or discontinue the Free Trial program at any time without notice, including changes to duration, features, limits, eligibility, conversion terms, and pricing. NodeFox is not liable for modifications.

PART XX: PROMOTIONS AND ABUSE

20.1 Promotions. NodeFox may offer promotional Trials with different terms. Promotional terms supplement these Trial Terms. One promotion per user/organization unless specified otherwise.

20.2 Abuse and Fraud. NodeFox may use automated detection. Abuse (including account manipulation, false information, credential sharing, circumvention, and commercial use without conversion) may result in immediate termination, Account termination, future prohibition, evidence preservation, legal action, and reporting to authorities.

PART XXI: DISPUTE RESOLUTION

21.1 Dispute resolution for the Free Trial is governed by the dispute resolution provisions of the Terms of Service (/legal/terms), including governing law, informal resolution, arbitration, class action waiver, and all related procedures.

PART XXII: GENERAL PROVISIONS

22.1 Entire Agreement. These Trial Terms, together with the Terms of Service and incorporated policies, constitute the entire agreement regarding the Free Trial.

22.2 Relationship to Other Terms. These Trial Terms supplement and are incorporated into the Terms of Service. In the event of conflict for matters specifically related to the Free Trial, these Trial Terms control. Order of precedence otherwise follows the Terms of Service.

22.3 Severability. If any provision is held invalid, the remainder continues in effect.

22.4 Waiver. Failure to enforce does not waive.

22.5 Assignment. You may not assign. NodeFox may assign freely.

22.6 Notices. Notices to you are sent to your Account email and are effective when sent, to the extent permitted by law. Delivery failures do not invalidate notice. Notices to NodeFox: legal@nodefox.ai.

22.7 Force Majeure. NodeFox is not liable for delays or failures due to circumstances beyond reasonable control.

22.8 Independent Contractors. No agency, partnership, or joint venture is created.

22.9 No Third-Party Beneficiaries. These Trial Terms create no third-party beneficiary rights.

22.10 Construction. Section headings are for convenience. These Trial Terms shall not be construed against the drafting party.
